Directors/Officers

The Directors/Officers tab maintains information about individuals who have been elected to the Board of Directors, or who have been appointed as directors, for the designated corporate entity that appears in the header section of the notebook. The Corporate Secretary maintains a historical record of the officers and directors over time. Note that since an entity/entity relationship record is written to the database, many of these records can be inserted for the corporation/person pair. This entry allows for tracking information designating, for example, that a director was on the board one year, off the board for the next year, and then re-elected to the board again.  Likewise, the same kind of data can be recorded for an officer.  The ability to list the officers who were in office on a specific date can be accomplished by performing a ”filter and find” operation on the tab.

The Directors/Officers tab is accessed by clicking on the tab in the binder section of the Corporate Secretary notebook. Description

Required (Y/N)

Type

The entity relationship type: Director or Officer. When adding or updating a record, select a type from a dropdown list.

Title

The position of the officer in the designated corporate entity or the position that the board member holds on the Board of Directors.

Name

The name of a person who is designated as a standard director or officer for the related parent company (the owner of the subsidiary/corporate entity).

Note

A field for entering additional information about the elected officer or director. Enter or view the contents of this field without scrolling by clicking icn_pencil.jpg to display the Memo dialog box.

Effective Date

The first date that the director or officer served in his or her respective position for the corporate entity.

Termination Date

The last date of the director’s or officer’s term serving the respective corporate entity.
